These Terms and Conditions (the "Terms") are a binding agreement between you and SoloUp ("we", "us", "our") that governs your use of the SoloUp mobile application and related services (together, the "Service").
Please read them carefully. By creating an account, tapping "I agree", or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. About SoloUp
SoloUp is a goal-planning app. You describe a goal, answer a few questions, and the Service uses artificial intelligence to build a plan of milestones and daily tasks. You can track progress, earn trophies and, if you choose, share your goal with friends and the community.
SoloUp is a productivity and motivation tool. It is not a medical, psychological, therapeutic, financial, legal, educational or career-counselling service.
2. Eligibility
You may use the Service only if:
- you are at least 13 years old, or older if the law where you live sets a higher minimum age for using online services without a parent's consent (for example, 16 in parts of the European Economic Area);
- if you are under the age of majority where you live, a parent or legal guardian has read and agreed to these Terms on your behalf;
- you can form a binding contract with us; and
- you are not barred from using the Service under any applicable law.
3. Your account
Creating an account. You sign in with Google, Apple, or an emailed one-time code. You must give accurate information and keep it up to date.
Security. You are responsible for what happens on your account and for keeping your device and sign-in methods secure. Tell us immediately at support@soloupapp.com if you think someone else has accessed your account.
One account per person. Do not create accounts for other people, share your account, or create multiple accounts to get around the limits in these Terms (for example, the monthly goal allowance).
Phone number. You need to add a phone number to use SoloUp. You verify it by entering a code we send over WhatsApp. A phone number can belong to only one account.
Your account is personal. You may not sell, transfer or lend it to anyone.
4. Subscriptions
4.1 No free plan
SoloUp has no free plan, no free goal and no free trial. Creating goals and using the plan features requires a paid subscription.
4.2 SoloUp subscriptions
We offer paid subscriptions, currently monthly and yearly plans (each a "Subscription"). Prices, and any introductory offers, are shown in the app before you buy, in your local currency and including any taxes the store adds. Prices may differ between countries and can change (see 4.7).
What a Subscription includes:
- the ability to create new goals, up to three new goals in each billing month, counted from the date you subscribed;
- building the full plan, generating daily and weekly tasks, and tracking your progress; and
- the other features the app lists on the purchase screen when you subscribe.
4.3 Billing and auto-renewal
- Subscriptions are purchased through the Apple App Store or Google Play. Payment is charged to your Apple ID or Google account when you confirm the purchase.
- Subscriptions renew automatically for the same period and at the then-current price unless you cancel at least 24 hours before the end of the current period (or earlier if your store requires it).
- Your account is charged for renewal within 24 hours before the end of the current period.
- We do not receive or store your card or payment details. The store handles them.
4.4 Cancelling
You can cancel at any time in your store account:
- Apple: Settings > your name > Subscriptions.
- Google Play: Play Store > Profile > Payments and subscriptions > Subscriptions.
Cancelling stops future renewals. You keep access until the end of the period you have already paid for. Deleting the app or deleting your SoloUp data does not cancel a Subscription. You must cancel it in the store.
4.5 Refunds
Payments are processed by the store, so refund requests are handled by Apple or Google, under their policies. We cannot issue refunds for purchases made through them. Except where the law requires otherwise, fees already paid are non-refundable, including for partly used periods.
4.6 If your Subscription ends
If your Subscription ends or lapses, parts of the app are locked, including your tasks, friends, today's tasks, goal history, some other screens and the home screen widgets, until you subscribe again. Your data is kept while your account exists. We may change what is locked as the Service evolves, but we will not remove your ability to delete your account.
4.7 Changes to price or features
We may change prices or the contents of a Subscription. If we change the price of your Subscription, we will tell you as the store requires, and the new price will apply from your next renewal after the notice period. If you do not agree, cancel before it renews.
4.8 Taxes
Prices include or exclude taxes as shown by the store at purchase. You are responsible for any taxes that apply to you.
4.9 Promotional and referral codes
If we offer promotional or referral codes, they are subject to their own conditions, have no cash value, cannot be combined unless we say so, and may be withdrawn at any time. Codes cannot be sold or transferred.
5. AI-generated content
SoloUp uses artificial intelligence to write follow-up questions, check your answers, and create your milestones and tasks. By using the Service you understand and agree that:
- AI output can be inaccurate, incomplete or unsuitable for you. It is generated automatically and may contain errors.
- It is general guidance, not professional advice. Do not rely on it as medical, mental-health, financial, investment, tax, legal, nutritional, fitness, safety, educational or other professional advice. Speak to a qualified professional before making important decisions, and stop any task that feels unsafe or unwise for you.
- You are responsible for what you do. You decide whether and how to follow any suggestion.
- We do not guarantee results. We cannot promise that you will reach any goal, income, grade, fitness result, job or other outcome.
- Your input is processed by AI providers. Do not enter sensitive information such as health details, government identifiers, passwords or other people's private information in your goal or answers. See the Privacy Policy.
- We may decline a goal. Goals that are unlawful, unsafe, harmful, abusive, or not a real goal may be rejected automatically, and repeated rejected attempts may temporarily limit how many goals you can try. This protects the Service and other users.
- If you are struggling, please do not rely on an app. If you are in crisis or thinking about harming yourself or others, contact local emergency services or a crisis line right away.
6. Your content
"Your Content" means everything you submit to the Service: your goals and answers, notes, profile information and photo, and anything you post, comment or like in the community feed.
You keep ownership of Your Content.
Licence to us. You give us a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, adapt (for example, resize photos), display and transmit Your Content only as needed to run, secure, support and improve the Service, including sending it to the AI and cloud providers described in the Privacy Policy, and to show it to the people you choose to share it with. This licence lasts while your content is on the Service and for a reasonable time afterwards to complete deletion from backups.
Your promises. You confirm that you own Your Content or have the right to submit it, that it does not violate any law or anyone's rights, and that it follows section 7.
Visibility. Your goal is private by default. You choose who can see your goal and progress (everyone, nobody, only people you list, or everyone except people you list). Anything you post in the community feed can be seen by other users of the feed. You are responsible for what you choose to share.
Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.
7. Acceptable use and community rules
You agree not to:
- break any law, or encourage others to;
- post or share content that is hateful, harassing, threatening, bullying, sexually explicit, violent, graphic, or that targets people because of who they are;
- post content that promotes self-harm, eating disorders, dangerous activities, or illegal drugs;
- post spam, advertising, scams, links to malicious sites, or anything misleading or fraudulent;
- impersonate any person or organisation, or give false information about yourself;
- upload content that infringes someone's copyright, trademark, privacy or other rights, or that shows other people without their permission;
- collect, scrape or harvest information about other users or the Service;
- try to reverse engineer, decompile, copy, resell or create derivative works of the app or the Service, except as the law allows;
- interfere with or disrupt the Service, bypass limits or security measures, probe for vulnerabilities, or use bots, scripts or other automation;
- create goals or answers meant to manipulate, jailbreak or abuse the AI, or to produce harmful output;
- use the Service to harm minors in any way; or
- use the Service for any commercial purpose we have not agreed to in writing.
Reporting and moderation. You can report community posts in the app. We may review reports and remove content, hide or limit accounts, or take any other action we think is appropriate, without notice. We are not obliged to monitor the Service, but we may.
8. Friends and contact matching
If you grant contacts access and verify a phone number, the app can show you which of your contacts are on SoloUp, and let them find you if they have your number saved. You must only use this feature with contacts you have the right to use, and you must not use it to harass anyone. You can turn contacts access off in your phone's settings at any time. See the Privacy Policy for what is stored.
9. Notifications
By turning on notifications you agree to receive push notifications from the app, such as task reminders and updates about friends' progress, depending on your settings and your friends' visibility settings. You can turn them off in your device settings at any time.
10. Our rights in the Service
The Service, including the app, its design, text, graphics, trophies, logos, code and all related intellectual property, belongs to SoloUp or its licensors and is protected by law.
We give you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use the app on devices you own or control, for your personal, non-commercial use, as allowed by these Terms and by the rules of the app store you got it from. All rights not expressly given are reserved.
"SoloUp" and our logos are our trademarks. These Terms do not give you any right to use them.
11. Third-party services
The Service relies on third parties, including Apple, Google, the app stores, RevenueCat, cloud and database providers, AI providers, and messaging and email providers. They are listed in our Privacy Policy. Your use of their services may be governed by their own terms. We are not responsible for them, and the Service may be interrupted or changed if any of them change or stop working.
12. Suspension and termination
By you. You can stop using SoloUp at any time. You can delete your account and data in the app under Profile > Delete All Data. Deletion is permanent and cannot be undone. Remember to cancel any Subscription separately in your store.
By us. We may suspend or end your access, remove content, or restrict features immediately and without notice if we reasonably believe you have broken these Terms, put others or the Service at risk, or used the Service unlawfully, or if we are required to by law. We may also stop offering the Service, in whole or in part, with reasonable notice where possible.
What survives. Sections that by their nature should continue after termination will do so, including those on content licences needed to complete deletion, intellectual property, disclaimers, limits of liability, indemnity, governing law and disputes.
13. Disclaimers
THE SERVICE AND ALL AI-GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT YOUR DATA WILL NEVER BE LOST, OR THAT ANY PLAN OR SUGGESTION WILL HELP YOU REACH ANY GOAL.
SOME PLACES DO NOT ALLOW CERTAIN DISCLAIMERS, SO PART OF THIS SECTION MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS RIGHTS YOU HAVE UNDER MANDATORY CONSUMER LAW.
14. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW:
- WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN TOLD THEY MIGHT HAPPEN; AND
- OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US THROUGH THE STORES FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AND (B) USD 50 (OR THE EQUIVALENT IN YOUR CURRENCY).
We are not responsible for decisions you make or actions you take based on AI-generated plans or any content on the Service.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, such as liability for death or personal injury caused by negligence, or for fraud.
15. Indemnity
You agree to defend, indemnify and hold harmless SoloUp, its directors, officers, employees and partners from any claims, losses, damages and expenses (including reasonable legal fees) arising out of Your Content, your misuse of the Service, or your breach of these Terms or of anyone else's rights. This does not apply where applicable consumer law does not allow it.
16. Governing law and disputes
Governing law. These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. If you are a consumer, you also keep the protection of the mandatory consumer laws of the country where you live.
Talk to us first. If you have a problem, write to support@soloupapp.com and give us 30 days to try to resolve it informally before you start any formal proceeding.
Courts. Subject to any mandatory rights you have under local law, the courts of Mumbai, India have exclusive jurisdiction over disputes that are not resolved informally.
Class actions. Where the law allows, you agree to bring claims against us only on your own behalf and not as part of a class or representative action.
17. Terms that apply to Apple App Store users
If you downloaded SoloUp from the Apple App Store, the following also applies. If it conflicts with anything else in these Terms, this section prevails for iOS users.
- Agreement between you and us only. These Terms are between you and SoloUp, not Apple. SoloUp, not Apple, is responsible for the app and its content.
- Licence. The licence we give you is limited to a non-transferable licence to use the app on Apple devices that you own or control, as permitted by the Apple Media Services Terms and Conditions and the Usage Rules in them.
- Maintenance and support. We, not Apple, are solely responsible for support and maintenance. Apple has no obligation to provide them.
- Warranty. If the app fails to meet any applicable warranty, you may tell Apple, and Apple will refund the purchase price of the app (if any). To the maximum extent allowed by law, Apple has no other warranty obligation for the app. Any other claims, losses, liabilities, damages, costs or expenses for failure to meet a warranty are our responsibility.
- Product claims. We, not Apple, are responsible for any claims by you or a third party about the app or your use of it, including product liability claims, claims that it fails to meet a legal or regulatory requirement, and consumer protection or similar claims.
- Intellectual property. If a third party claims that the app infringes their intellectual property, we, not Apple, are solely responsible for investigating, defending, settling and discharging the claim.
- Legal compliance. You confirm that you are not located in a country subject to a US government embargo or designated as a "terrorist supporting" country, and that you are not on any US government list of prohibited or restricted parties.
- Developer contact. Questions, complaints or claims about the app can be sent to SoloUp, support@soloupapp.com.
- Third-party terms. You must follow any third-party terms that apply when you use the app, such as your wireless provider's terms.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of this section and, once you accept these Terms, Apple has the right to enforce them against you as a third-party beneficiary.
18. Terms that apply to Google Play users
If you downloaded SoloUp from Google Play, you must also follow the Google Play Terms of Service. Google is not a party to these Terms and is not responsible for the app or its content, support or maintenance. Subscriptions bought on Google Play are processed by Google, and refunds and cancellations follow Google Play's policies as described in section 4.
19. Changes to the Service and to these Terms
We may update the Service, add or remove features, and change these Terms from time to time, for example to reflect new features or legal requirements. We will change the "Last updated" date. If a change is material, we will tell you in the app or by email before it takes effect. If you keep using the Service after the effective date, you accept the updated Terms. If you do not agree, stop using the Service and delete your account.
20. General
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service and replace any earlier ones.
- If part is unenforceable. If a court finds part of these Terms unenforceable, the rest stays in effect.
- No waiver. If we do not enforce a right right away, that does not mean we have given it up.
- Assignment. You may not transfer your rights or duties under these Terms. We may transfer ours to a successor or affiliate, for example in a merger or sale of the business.
- Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control, including outages of internet, cloud, store or AI providers, natural disasters, war, labour disputes or government action.
